Nudge Ambassador Program — Terms & Conditions

The Nudge Ambassador Program allows individuals to earn commission by referring new paying subscribers to Nudge products. Participation is voluntary and does not create an employment, agency, partnership, or joint venture relationship between you and Nudge.

To participate you must:

• Be at least 18 years old
• Have a valid payment method (PayPal or bank account)
• Agree to these Terms in full
• Not be a current employee or contractor of Nudge

Nudge reserves the right to decline any application without explanation.

Upon registration you will choose a unique handle (e.g. "fairjames"). This becomes your:

• Referral link: nudgeworks.app/join/[handle]
• Discount code: [HANDLE] in uppercase

Your handle cannot be changed after registration. You may not choose a handle that:

• Impersonates another person or brand
• Contains offensive or inappropriate content
• Misrepresents your affiliation with Nudge

You earn commission on active paying subscriptions that were attributed to you through your unique link or code.

Attribution is system-tracked:

For a referral to qualify for commission, the referred user must sign up either by clicking your referral link (nudgeworks.app/join/[handle]) or by entering your referral code during signup. Word-of-mouth referrals where the user signs up without using your link or code are not eligible for commission, even if the user later tells you they joined because of you. Attribution must be recorded by our system within 14 days of the user's account creation.

Monthly Commission Rates:

• Flex plan: 5% of monthly subscription fee
• Harmony plan: 10% of monthly subscription fee
• Flow plan: 15% of monthly subscription fee
• Circle plan: 20% of monthly subscription fee

Commission Period:

Commission is earned for a maximum of 12 consecutive months from the date of a referred user's first payment. After 12 months, commission for that user ceases automatically.

Commission Rate is Locked at Signup:

The commission rate is fixed at the moment your referral makes their first payment, based on the plan they were on at that moment. If the user later upgrades or downgrades their plan, the commission rate stays the same for the remainder of the 12-month commission window. This applies in both directions: a downgrade does not reduce your rate, and an upgrade does not increase it.

Active Subscription Definition:

A referred user is considered active when they are on a paid Nudge plan and their subscription has not been cancelled, refunded, or disputed.

What does NOT generate commission:

• Free trial periods (only paid months count)
• Users who cancel before their first payment
• Users who signed up without using your link or code
• Users referred through prohibited methods (see §7)

Refunds and chargebacks fully reverse commission:

If a referred user is granted a refund or files a successful chargeback / dispute on a payment we received, the commission for that payment is removed in full and is not paid out. The 90-day refund-protection window in §8 means most refund and chargeback events occur before the commission becomes available to request, so no clawback is needed in practice. If a refund occurs after a commission has been paid out (rare, beyond the 90-day window), Nudge may at its sole discretion deduct the equivalent amount from your next payout or invoice you for the difference.

Referred users who use your code receive a one-time 25% discount on their first paid month, on any plan.

This discount is applied automatically at checkout. It cannot be combined with other offers or promotions.

If a minimum number of your referred users remain on active paid subscriptions 12 months after the Program start date, you receive a one-time bonus:

• 10 active users at 12 months → €25 bonus
• 25 active users at 12 months → €50 bonus
• 50 active users at 12 months → €100 bonus
• 100 active users at 12 months → €250 bonus

Only the highest applicable tier is paid. Bonuses are calculated on the 1st of the month following your 12-month anniversary and paid within 30 days.

You may NOT promote your referral link or code via:

• Spam emails or unsolicited messages
• Paid advertising using Nudge brand terms (e.g. bidding on "Nudge" in Google Ads)
• Misleading or false claims about Nudge
• Fake reviews or testimonials
• Cookie stuffing or other fraudulent tracking
• Self-referral (referring yourself or accounts you control)
• Any method that violates applicable law

Violation of this section results in immediate termination and forfeiture of all pending earnings.

How payouts work: Commissions are calculated on the 1st of each month for the previous month's active referrals. Once a commission has cleared the refund-protection window (see below), you can request a payout from your dashboard and we process it manually within 15 business days.

Refund-protection window (90 days): Each commission you earn cools off for 90 days after it's credited to your account before it becomes available to request. This window covers the typical refund and chargeback period for both card payments (Stripe) and in-app purchases (Apple App Store, Google Play). If a referred user's underlying payment is refunded or charged back during the cooling-off window, the commission for that payment never becomes available — Nudge does not pay commission on reversed transactions. Your dashboard shows clearly which earnings are still cooling off and when each will be released.

Minimum payout: €10. Available earnings below €10 stay in your account and accumulate until you request.

Payment methods: PayPal or SEPA bank transfer. You are responsible for providing accurate payment details. Nudge is not responsible for payments sent to incorrect details you provide.

Currency: All payments are in EUR.

Taxes: You are solely responsible for declaring and paying any taxes on commission income in your jurisdiction. Nudge does not withhold tax.

Nudge reserves the right to modify any aspect of this Program at any time, including but not limited to:

• Commission rates and structure
• Bonus amounts and milestones
• Eligible plans and products
• Payment schedules and minimum thresholds
• Program rules and prohibited methods

We will provide at least 30 days notice of material changes via email to your registered address. Your continued participation after the effective date of changes constitutes acceptance.

Changes required by law or to prevent fraud or abuse may take effect immediately without notice.

Nudge may suspend or terminate your ambassador account at any time, with or without cause, with or without notice, including for:

• Violation of these Terms
• Fraudulent activity or misrepresentation
• Breach of applicable law
• Reputational harm to Nudge
• Program discontinuation

You may terminate your participation at any time by contacting ambassadors@nudgeworks.app.

Effect of termination:

• Future commission accrual stops immediately
• Pending commissions for completed months are paid
• Commissions for the current partial month are forfeited unless termination is by Nudge without cause
• Year bonuses not yet reached are forfeited
• Your referral link and code are deactivated

Nudge grants you a limited, non-exclusive, revocable licence to use the Nudge name and logo solely for the purpose of promoting your referral link in accordance with these Terms.

You may not:

• Alter or modify Nudge branding
• Use Nudge branding in a way that implies official endorsement beyond the Program
• Register domain names containing "Nudge"

You are an independent referrer. Nothing in these Terms creates an employment, agency, franchise, or partnership relationship. You have no authority to bind Nudge to any agreement.

To the maximum extent permitted by Dutch law, Nudge's total liability to you under this Program shall not exceed the commission earned by you in the 3 months preceding any claim.

Nudge is not liable for indirect, consequential, or incidental damages arising from your participation in the Program.

You agree to indemnify Nudge against any claims, losses, or damages arising from your promotion activities, violation of these Terms, or breach of applicable law.

These Terms are governed by Dutch law. Disputes shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

These Terms, together with the Nudge Privacy Policy and Terms of Service, constitute the entire agreement between you and Nudge regarding the Ambassador Program and supersede all prior understandings.
